Foreign Business License in Thailand: Requirements, Costs, Documents and Application Process

An overseas company has lined up a Thai distributor and a launch date. Then a basic question stalls the plan: do its intended activities need government approval before it can trade? The answer depends on what the business does, how it is owned, and whether any exemption applies. Thailand’s Foreign Business Act B.E. 2542 (1999) restricts certain activities when carried out by foreigners. Not every foreign-owned business needs the same approval, and many need no foreign business license at all. The first task is to establish which category your activity falls into.

Who Needs a Foreign Business License in Thailand?

The Act regulates “foreigners”, a category that includes non-Thai individuals, companies registered abroad, and Thai-registered companies where foreigners hold half or more of the capital. It sorts restricted activities into three lists:

  • List 1: activities generally closed to foreigners.

  • List 2: activities linked to national security, culture, or natural resources. These require Cabinet-level approval.

  • List 3: activities where Thai businesses are considered not yet ready to compete with foreign ones. These can be licensed by the Department of Business Development (DBD) after review by the Foreign Business Committee.

Classification must follow the real activity, not its label. Treaty rights, Board of Investment (BOI) promotion, and other arrangements can change the route. A BOI-promoted company, for example, may obtain a foreign business certificate instead. The lists are also under review: the Thai cabinet approved in principle, in May 2026, draft measures to delist some reserved activities. Check the current text before relying on any summary, including this one.

Documents Required for the Application

Applications are filed on Form Tor. 2 with the DBD in Nonthaburi, or at a provincial business development office. Supporting material commonly includes:

  • Passport or identification for the applicant or authorized representative.

  • Corporate registration documents, where the applicant is a company.

  • A description of the activity, its operating procedure, and its size.

  • Details of capital, investment, staffing, and expected economic benefits to Thailand.

  • A map showing the business location.

  • Declarations and any further documents the authority requests.

The final checklist varies with the applicant’s legal status and business category. Treat this list as a starting point, not an exhaustive one.

Foreign Business License Costs and Government Fees

Published DBD guidance sets a non-refundable application fee of 2,000 baht. If approved, the license fee is calculated from registered capital:

  • List 2: 10 baht per 1,000 baht of capital, with a minimum of 40,000 baht and a maximum of 500,000 baht.

  • List 3: 5 baht per 1,000 baht of capital, with a minimum of 20,000 baht and a maximum of 250,000 baht.

Confirm these figures with the DBD before budgeting, as fee schedules can change. They are also only part of the cost. Budget separately for professional advisory fees, translation and certification of documents, company establishment, office rental, accounting, and ongoing compliance. Capital conditions may also attach to the license itself.

Application Process and Approval Timeline

The process usually runs in this order:

  1. Identify and classify the proposed activities.

  2. Determine the licensing route and check for exemptions.

  3. Prepare the application and supporting documents.

  4. Submit to the DBD or the relevant authority.

  5. Answer any questions or requests for additional information.

  6. Receive the decision and complete the licensing formalities, including paying the license fee.

Practitioner sources commonly cite up to 60 days for the Foreign Business Committee to consider an application, and three to six months overall. The committee’s review period is not the same as the time needed to prepare documents, answer queries, and finalize the structure, so plan for the longer figure. A business must not begin a restricted activity until the required authorization has been granted.

Is a Foreign Representative Office the Right Option?

A foreign representative office is not a trading business. It serves its overseas head office or affiliates, typically by sourcing goods, inspecting quality, disseminating information, or reporting on Thai market conditions. It generally cannot sell products, take orders, negotiate sales, or earn local revenue. Its costs are normally funded by remittances from the parent.

Current guidance indicates that a representative office no longer needs a foreign business license, although it must still register, meet its minimum capital requirement (reported as 2 million baht), and follow Thai tax and compliance rules. Because requirements have shifted over time, verify the current position with the DBD. A representative office suits market testing and support functions. It is not a substitute for a licensed operating company when you intend to earn revenue in Thailand.

Plan Your Thailand Market Entry Carefully

Start by classifying the activity, then confirm ownership limits, capital and funding requirements, and the correct documents. Check the rules again before committing to a structure, because Thailand’s foreign investment regulations are actively evolving. Many investors seek informed guidance when comparing business structures, and firms such as InterLoop Solutions & Consultancy Co.Ltd. work in this area. This article is general information, not individualized legal advice.

Aim for regulatory clarity first, a realistic budget second, and a structure that remains compliant over the long term.
